A supervisory board will appear in the UDS for the first time


A supervisory board will appear in PJSC “Ukrainian Danube Shipping”.

“We received an order from the Ministry of Community Development, Territories and Infrastructure of Ukraine regarding the formation of the Supervisory Board,” the UDS press service reported.

Thus, the system of corporate governance is being implemented not only in PrJSC “UDS”. This process takes place at most state-owned enterprises.

The task of corporatization is to increase the efficiency and independence of management, to strengthen opportunities for attracting investments.

In particular, it is important for international investors to understand that the situation at the Ukrainian enterprise is controlled not by a ministerial official, but by a team of independent specialists.

“According to the law, Supervisory Boards at state-owned enterprises do not interfere in operational activities. They approve the financial and investment plan, monitor the implementation of the development strategy, the publication of reliable information about the activities of the joint-stock company, consider the report of the general director,” the UDS noted.

Two members of the Supervisory Board of the UDS will be appointed by the Ministry as representatives of the state. Three more will be selected based on the results of an open competition with the involvement of a professional consultant.

The UDS also emphasized that council members should have different competencies (expertise in the transport industry, legal field, etc.).

“It is important that they not only carry out independent control and monitoring, but also, based on their own experience and contacts, contribute to the development of the company and attract investments,” the state-owned enterprise emphasized.

As previously reported by USM, the UDS transferred part of the dividends to the state budget. Paroplavstvo paid the first part of dividends for 2024 — UAH 75 million, and plans to pay the second part.
