Kernel’s main shareholder announced a mandatory buyout of the company’s shares remaining with minority shareholders


Namsen Limited, the main shareholder of Kernel Holding, announced the terms of the mandatory buyout of the remaining shares of the company at a price of PLN 19.93 per share.

The buyout price will be PLN 19.93 per share. In total, the offer covers 14.18 million Kernel shares, which corresponds to approximately 4.83% of the votes at the general meeting of shareholders, PAP Biznes reports with reference to Q Securities, which acts as an intermediary in the transaction.

Applications for the buyout will be accepted from August 10 to December 29, 2026.

The price was determined by the Luxembourg Financial Sector Supervisory Commission CSSF based on two independent valuations.

The buyout will take place in five stages. During the first four, Namsen plans to buy at least 2.84 million shares. In the last stage, the company will buy back all shares for which applications are received.

If in a certain period the number of applications exceeds the established limit, the rest will be transferred to the next stage.

The final settlement under the agreement is scheduled for January 4, 2027. The transfer of shares will take place outside the regulated market through the Polish depository KDPW.
